A Texas "non-profit org just legalized" had to have 3 founders who are usually the initial board. The entity needs corporate documents and must be run according the Business Organization Code.

When an organization is incorporated it would be normal to have the officers of the existing entity become officers of the incorporated entity. However, you should call up Mr. Kazaleh and buy some time from him.
It sounds like you need an attorney to help with the organizational documents. Although you may have successfully filed the entity with the secretary of state, it doesn't sound like it is as "legal" as it needs to be. Filing is merely a step in the process. The answer to your question will depend upon whether you had a pre-incorporation agreement. However, even then, the new corporation would have minutes to memorialize the actions contained within the pre-incorporation agreement.
