My friend and I did business together. The first yr things went bad and he stopped working for the company. Since then I did virtually all the work. THe business made money when he left. Now he wants half of the money I made. We did not have a corporation, LLC or any other formal business entity. If I can show I did all the work will I still have to give him half of the profits?

It would be difficult to answer your question based on these limited facts. The answer is it depends. A full consultation would be necessary to properly advise you.

Generally in a partnership profits and losses are shared equally. But in this case it seems there are a lot of facts that would need to discuss with an attorney in order to obtain sound legal advice. You should definitely speak with an attorney to get sound legal advice as to an amicable way to resolve this dispute before it becomes too costly for both sides. Good luck!

I agree that you need to hire an attorney at a minimum for a consult. There are questions of capital funding, equity, partnership, joint venture and intellectual property law that are touched upon in your question. There are also important facts to delve into regarding your friend's departure from the business. I wish you well.

The easiest way to show that he doesn't deserve anything is if you can establish he was making money doing something else while he was gone. You can give my office a call tomorrow and we can chat about it if you are interested. Good luck bud!
