Does a meeting of board members with a lawyer to discuss litigation against a resident or a dock board in the same facility have to be publicized to all association members?

Any meeting or gathering (even social) in which a majority of the board members are present and board business is discussed is a board meeting. It could be a bar-b-cue, a softball game, or at the grocery. If the board meets, it is required to post a notice 48 hours in advance and the meeting be opened to members, so the board should not discuss board business outside of official board meetings and at social gatherings. The exception to the rule is the meeting with an attorney to discuss pending or prospective litigation. These meetings are closed and there is nothing in the statute that specifically requires they be posted, but then the notice portion of the statute doesn't exempt them either. No one has spent the considerable amount of legal fees it would take to litigate this and the issue has not been before the courts. All committee meetings must be open to members and noticed as well. Not sure what you mean by "dock board" but I am assuming you mean a committee.

Attorney Stage is correct. The definition of a board meeting is very broad. It is critical that Boards take steps not to violate the notice requirement for meetings, and the definition of a meeting.
