How best to end a partnership agreement by mutual consent?
Anonymous3 views5 answers
How do we correctly end a partnership agreement by mutual consent? a rescission agreement, a termination agreement, or an amendment? what are the critical parts? The partnership agreement formed a shell LLC and one partner has decided to withdraw and give the LLC to the other partner. we just want to cut all ties and release each other from all responsibility/liability, there's no bank account or assets besides the shell LLC.

What you call it is really not important. A contract stating both parties agree to terminate all rights and duties under the partnership agreement.
You still need to go through the proper steps to wind up the business. You also need to notify LNI if you had employees.
The best solution is to have your tax and business attorney draft an agreement transferring the interest. The LLC will have to file a 1065 US Partnership Return and State tax returns. If one person is going to operate the LLC, it can be a single member LLC filing a Schedule C with the 1040. If the LLC is going to be closed, your attorney can prepare the necessary documents.
I hope this helps!

Do you have a written partnership agreement? If so, does it have a dissolution provision? If so, follow it. What are your plans for the LLC? Dissolving the partnership will not necessarily terminate the LLC, unless you have provisions in the LLC Articles or by-laws that say so.
Draft a separation agreement (or assignment and assumption agreement), clearly assigning the assets (which seem to only be the membership interests) and the liabilities to one person. You could then have a mutual release clause. Each party should sign. The remaining LLC member should then have a single member LLC operating agreement. A lawyer could do this probably in about an hour if it is not contested and it is truly as simple as you say. There may be tax implications so those should be considered as well, but if the LLC has no value then it is probably not worth worrying about.
You come to an attorney like myself, tell me what the terms of the breakup are, and we will draft an appropriate agreement. If the partnership is going to continue then it would be an amendment.
