How to reinstate an LLC (from Nevada) that was revoked.

I am Canadian but live in Mexico City. I registered an LLC in Nevada in 2009. I paid a company to take care of the registration and the annual fee. I noticed a month ago that my LLC status is revoked and there is nothing I can get from the company who was supposed to take care of it. I would like to reinstate the corporation.

You should consider changing the resident agent to a law firm or other registered agent who will prepare your minutes on an annual basis, prepare your list for signing and otherwise keep your LLC in good standing. Most firms charge a flat fee for the service. You will have a one time additional fee to change the resident agent with the Secretary of State. Also you will have filing fees to cure the default/revoked status. You can pay these fees yourself or work with counsel to do so. I have included a link to the Nevada Secretary of State Silver Flume site. It is probably best to have the new attorney review all of your organizational documents, minutes, operating agreement, etc. to make sure all is in order. Best of luck to you. You can go to the Secretary of State's website and find what the reinstatement fees shall be with a simple click. You may be surprised to see that they sometimes are pretty hefty! It may make sense - since the office that was supposed to be representing your LLC really let you down - to start again from scratch and form a new LLC. It likely will be cheaper, and you can consider additional provisions and formats that might better serve your business interests. Additionally, if you did not have a thorough and professionally prepared Operating Agreement (an essential part of a Nevada LLC, although it is not required for filing) you should have competent counsel prepare that for you to fully demonstrate the legitimacy of your entity. Our firm would be happy to help you with these things and evaluate all possible options for you to consider.

Until permanently revoked, it is simply a matter of paying the delinquent fees, which can be done on the website (button at upper right above the general information). And as Miss Goldsmith notes, it will make far more sense to hire an attorney for such things--you should have at least annual meetings with your attorney anyway, just to make sure the world is on track, and his can be done in one long phone call in which the attorney also logs your annual meeting, which makes a difference in any later veil piercing or alter ego action.
