Taxes for Delaware C Court corp.

Incorporation 3 views 1 answers
I started at the C corp using one of the online services. Now that online service has sent me a bill of $3,000 for the taxes for the current ear. My revenue is zero, and I started the company in October. I'm based out of California, and I am a software business. Why should I pay taxes of $3000 for only six months with zero revenue? How do I get out of it? I have not decided when my financially should end.

Effective August 1, 2010, a domestic stock or non-stock for profit corporation incorporated in the State of Delaware is required to pay annual franchise tax. The minimum tax is $175.00, for corporations using the Authorized Shares method and a minimum tax of $350.00 for corporations using the Assumed Par Value Capital Method. The online service (likely acting as your registered agent in Delaware), probably used the default Authorized Share method to calculate the annual franchise tax. The Annual Franchise Tax assessment is based on the authorized shares. Use the method that results in the lesser tax. If you have no revenue and few assets, you should use the Assumed Par Value Capital Method to calculate the tax. Your tax should only be $350, but use the calculator available through the link below to verify the amount.
