You should review your bylaws regarding the process to add a shareholder. There may also be securities filings that will need to be completed. You should speak with a business attorney to make sure all regulations are followed and the transaction is properly documented.

Yes, you can sell stock in a corporation. You need to make sure you have the proper disclaimer about securities laws. This should be able to be prepared using fairly simple paperwork.

Investments can be tricky and offer many potential hazards. For example, as others have pointed out, securities laws may apply if you are selling shares. It is very important for many reasons to have the transaction property documented. To minimize problems, you should have a lawyer in your area prepare the paperwork. You can use the "find a lawyer" tool on this site to search for lawyers.

You are certainly able to sell equity in your corporation. I recommend that you speak with a corporate/securities attorney as this transaction is the sale of a security, which brings in to play the federal securities laws. Also, there are many considerations such as whether you want to restrict the buyers ability to sell the shares to someone else in the future that you will want to consider and which the documents will need to address. Many attorneys on avvo, including myself, provide a free initial consultation.
