Rule 155(c) - A withdrawn registered offering (no securities sold) will not be integrated with a private Rule 506 offering if the issuer waits 30 days after withdrawal before commencing private offering.
PLEASE do not continue to do this on your own. Unlike Rule 505, all non-accredited investors must be sophisticated – that is, they must have sufficient knowledge and experience in financial and business matters to make them capable of evaluating the merits and risks of the prospective investment.
You will be dealing with sophisticated investors. I strongly SUGGEST that you exercise some sound business judgment and hire an attorney. How much money do you think you are going to save by doing this on your own?
It all depends on the date the 506 Reg D offering was first established, if any investors invested any monies etc. You may have to wait a year. Please consult a securities attorney because violations of federal securities laws can have dire consequences.
