Can someone take me to court in the situation explained below:

Business Assets 2 views 2 answers
I took over a business from someone 6-7 months ago and she gave me the business debit card which also was under her name. But I am the rightful owner of the business. The business closed down few weeks ago and I did make some purchases on the card thinking there was money and that made the account be over drafted. Can she take any legal actions against me for that? She did give me the card, it was the business card and I am the owner of the business. She tells me she got a investigator to work on it but I think she is bluffing.

The answer depends upon what you mean by "took over a business". Did you purchase the business? Did you pay cash and/or otherwise agree to assume the debts of the business? Was this an asset sale or a stock sale? Was there a purchase agreement setting forth your rights and obligations? Was there a bill of sale setting forth what you purchased from the business?

Your sale documents should have provided for when the sale closed, and when you took ownership of the business assets (including debit card and bank balance), and when you'd indemnify the seller for liabilties incurred after this transfer date. They also should have inclucded warranties and representations about exactly what assets were being transferred in the sale, and what liabilities existed. You need to review your sale documents yourself, or hire a lawyer for help.
