They are pretty standard defenses indicating that the defendant is not at fault based on the representations by the plaintiff. Estoppel, sometimes referred to as equitable estoppel, is an Affirmative Defense. The party raising estoppel must prove its elements by clear and convincing evidence. The elements of estoppel are: The party against whom estoppel is sought must have made a representation about a material fact that is contrary to a position it later asserts; The party claiming estoppel must have relied on that representation; and The party seeking estoppel must have changed his position to his detriment based on the representation and his reliance on it. Unclean hands is an equitable defense in which the defendant argues that the plaintiff is not entitled to obtain an equitable remedy on account of the fact that the plaintiff is acting unethically or has acted in bad faith with respect to the subject of the complaint—that is, with "unclean hands"
